1. What You're Signing Up For

1.1 The App and Content

The App provides self-guided meditation, mindfulness, sleep, and relaxation content. The App does not provide coaching, therapy, psychiatry, or any other service delivered by a human provider, and Zenravi does not employ or contract with healthcare providers.

1.2 General Rules for Use or Access

• (a) By using or accessing the App, you agree to be bound by these Terms and all applicable laws and regulations. You may be required to click "I agree" to access the App. If you do not agree to these Terms, please do not use the App.
• (b) These Terms set out the whole agreement between you and us for use of the App, unless expressly stated otherwise. Where you are required to agree to additional terms (e.g., for special offerings), those additional terms are incorporated into these Terms, and will control to the extent of any inconsistency.
• (c) If you believe there is an error in these Terms, please contact us at info@zenravi.app.
• (d) Use of the App requires a compatible device and Internet access. You are responsible for the functionality of your equipment and for any Internet access charges.

1.3 Changes to Terms

We may change or update these Terms at any time. If a change materially affects your rights or obligations, we will notify you (e.g., via in-app notice or email) and may require you to accept the updated Terms to continue using the App. Continued use after a change constitutes acceptance of the updated Terms.

2. Your Account

2.1 Becoming a Member

• (a) To access most features of the App, you must register an account ("Member"). To register, you must provide certain information, including your name, email address, date of birth, and a password ("User Information"). You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your Device. You may not register more than one account.
• (b) By registering, you warrant that: (i) you are legally capable of entering into binding contracts; (ii) all User Information you provide is truthful, accurate, and current; (iii) you will maintain the accuracy of such information; and (iv) your use of the App does not violate these Terms or applicable law.
• (c) Member accounts and Subscriptions are not transferable. You agree not to sell, transfer, or exchange your account or Subscription, including any discounted, trial, or promotional access.

2.2 Children

The App is intended for individuals at least 18 years of age. By using the App, you represent that you meet this age requirement, or that you are using the App with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf. We do not knowingly collect personal information from children under 13. If we become aware that a child under 13 has provided us with personal information, we will take steps to delete such information.

2.3 Subscriptions & Purchases

• (a) Free Trials. We may offer a free trial period for certain Content ("Free Trial"). You are entitled to one Free Trial per person, regardless of subscription method. We reserve the right to determine eligibility for Free Trials. Free Trials automatically convert to a paid subscription at the end of the trial period unless cancelled before that date in accordance with Section 3.2.
• (b) Automatically Renewing Subscriptions. You may access certain Content via a recurring subscription ("Subscription"), available on monthly or annual terms ("Subscription Term"). By starting a Subscription, you authorize us to charge your designated payment method ("Payment Method") on a recurring basis for the applicable fee ("Subscription Fee"), in advance, for each Subscription Term. Your Subscription will renew automatically at the end of each Subscription Term unless you cancel in accordance with Section 3.2 or we terminate it.
• (c) No Refunds. You will not be entitled to a refund for any Subscription Fee already charged, except where required by applicable law.
• (d) Subscription Methods. You may subscribe through the App, our website, or through an applicable app marketplace (e.g., Apple App Store or Google Play Store). If you subscribe through Apple or Google, your purchase is also subject to their respective payment terms and refund policies, which we do not control.
• (e) Prices and Taxes. Prices are stated inclusive or exclusive of applicable taxes (e.g., GST/QST) as indicated at the time of purchase. Applicable taxes will be charged in addition where required by law. We reserve the right to change our prices at any time; price changes will take effect prospectively and will not affect a Subscription Term you have already paid for.
• (f) Payment Information. You authorize us, or our third-party payment processor, to charge all applicable fees and taxes to your Payment Method. If we use a third-party payment processor (such as Stripe), their use of your information is governed by their own terms and privacy policy.

2.4 Changing Fees

We reserve the right to change our subscription fees or pricing plans at any time, in our sole discretion. Any such change will take effect following notice to you and will apply prospectively to future Subscription Terms.

3. Cancellation

3.1 Cancellation by Us

We may suspend or terminate your access to the App if you breach these Terms, including the prohibited uses listed in Section 4. We may do so immediately and without notice. If we terminate your account other than for a breach by you, you may be entitled to a pro rata refund of any prepaid Subscription Fees for the unused portion of your Subscription Term.

3.2 Cancellation by You

• (a) You may cancel your Subscription at any time. To avoid being charged for the next Subscription Term, you must cancel before the renewal date. Cancellation of a monthly Subscription takes effect at the end of the current monthly period; cancellation of an annual Subscription takes effect at the end of the current annual period. You can cancel through your account settings or by emailing info@zenravi.app.
• (b) If you cancel, you will continue to have access to the App until the end of your current Subscription Term, but you are not entitled to a refund for fees already paid.
• (c) If you subscribed through the Apple App Store or Google Play Store, you must cancel through your Apple ID or Google account settings, as applicable. Cancelling within the App alone will not stop billing through those platforms.

4. Prohibited Use of the App

By using the App, you agree not to:

• a. copy, store, reproduce, transmit, modify, alter, reverse-engineer, emulate, decompile, or disassemble the App or Content, or create derivative works from it;
• b. use the App or Content to create any tool or software product, including for training machine learning or AI models, without our express written consent;
• c. upload, transmit, or introduce any viruses, malware, or other harmful code;
• d. interfere with the servers or networks underlying the App, or violate any policies of networks connected to the App;
• e. access the App in an unauthorized manner or in violation of any applicable law;
• f. circumvent any territorial or access restrictions applied to the App;
• g. impersonate any person or entity, or otherwise engage in fraudulent activity;
• h. use the App for any illegal, harmful, or abusive purpose;
• i. use the App for scientific research, analysis, or evaluation of the App without our express written consent;
• j. rent, lease, sell, distribute, or otherwise make the App or Content available to third parties, or use the App other than for your own personal, non-commercial use;
• k. use any automated tool or system to extract, scrape, or collect data or content from the App for any purpose; or
• l. attempt to do, or assist others in doing, any of the above.

We may immediately suspend or terminate your access to the App if we believe, in our sole discretion, that you have violated this Section or any applicable law. We may report violations to law enforcement and cooperate with any resulting investigation.

5. Intellectual Property

5.1 License

Subject to these Terms, Zenravi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App and Content for your personal, non-commercial use.

5.2 Ownership

All Content and materials available on or through the App (the "Materials"), including software, audio, text, graphics, and trademarks, are owned by Zenravi or our licensors, unless otherwise indicated. Other than the limited license granted above, you acquire no rights, title, or interest in the Materials.

5.3 Restrictions

Audio or other Content not explicitly indicated as downloadable may not be downloaded, copied, or distributed. Any unauthorized use of the Materials immediately terminates the license granted to you and may result in legal liability.

5.4 Trademarks

Zenravi and the Zenravi logo are trademarks of Zenravi Ltée. All other trademarks, logos, and names appearing in the App are the property of their respective owners. Nothing in these Terms grants you any right to use such marks.

6. Availability of the App

We aim to provide a reliable service but do not guarantee that the App will be uninterrupted, error-free, or fault-free. If you encounter a fault, please report it to info@zenravi.app. We may suspend access to the App temporarily for maintenance, updates, or repairs, and will restore access as soon as reasonably possible. We will not be liable to you for unavailability of the App for a commercially reasonable period.

We may change, suspend, or discontinue any feature or Content of the App at any time, without notice, and without liability to you, except as required by applicable law or as set out in Section 3.1 regarding refunds.

7. User Material

If the App allows you to submit content (e.g., journal entries, comments, feedback) ("User Material"), you represent and warrant that:

• a. you own the User Material or have the right to submit it, and doing so does not infringe any third-party rights;
• b. the User Material is not illegal, obscene, defamatory, threatening, harassing, hateful, or otherwise inappropriate;
• c. the User Material does not advertise any product or service;
• d. the User Material does not identify any individual under 18 without appropriate consent, and you are not impersonating any other person; and
• e. you will not use the App to send unsolicited communications or engage in any unlawful activity.

We do not systematically review User Material but reserve the right to monitor, remove, or restrict access to User Material at our sole discretion, with or without notice, particularly where it breaches this Section.

8. Disclaimer of Warranties

THE APP AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE LAW. THE APP IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL OR MENTAL HEALTH ADVICE.

9. Indemnity

To the fullest extent permitted by law, you agree to defend and indemnify Zenravi, its officers, directors, employees, and affiliates from and against any third-party claim, liability, damage, loss, or expense (including reasonable legal fees) arising from: (a) your unauthorized use or misuse of the App; (b) your breach of these Terms or applicable law; or (c) your violation of any third-party right.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZENRAVI WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE APP OR CONTENT, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ZENRAVI FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ZENRAVI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CAD $100.

NOTHING IN THESE TERMS LIMITS OR EXCLUDES ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER THE LAWS OF QUEBEC, INCLUDING THE CONSUMER PROTECTION ACT (QUEBEC).

11. General

11.1 Assignment

We may transfer our rights and obligations under these Terms to another entity, provided this does not materially affect your rights. You may not transfer your rights or obligations under these Terms.

11.2 No Waiver

Our failure to enforce any right under these Terms does not constitute a waiver of that right.

11.3 Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.

11.4 Notices

Notices to us must be sent to info@zenravi.app. We may send notices to the email address associated with your account, or via in-app notification.

11.5 Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly referenced herein, constitute the entire agreement between you and Zenravi regarding the App, and supersede any prior agreements or understandings.

11.6 Severability

If any provision of these Terms is found unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.

11.7 Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the App will be submitted to the exclusive jurisdiction of the courts of the district of Montréal, Quebec, subject to any mandatory consumer protection rights you may have under the laws of your province of residence.
